1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Propel IT concerning your access to and use of our services, including our Agentic Social Media Manager, AI Education Management System, and Election Management System.

4. Services Description

4.1 Agentic Social Media Manager

Our AI-powered social media management platform provides autonomous content creation, scheduling, and analytics. You are responsible for ensuring that all content generated complies with applicable laws and platform policies.

4.2 AI Education Management System

Our education management system provides tools for personalized learning, assessment, and administration. You are responsible for ensuring compliance with educational regulations and data protection laws applicable to student information.

4.3 Election Management System

Our election management system facilitates secure voter registration, voting, and result tracking. You acknowledge that the integrity of election processes depends on proper implementation and adherence to electoral laws and regulations.

5. User Responsibilities

When using our services, you agree to:

• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Not use services for illegal or unauthorized purposes
• Not interfere with or disrupt the services
• Not attempt to gain unauthorized access to systems
• Not transmit malware, viruses, or harmful code
• Not engage in fraudulent or deceptive practices
• Not violate the rights of others

6. AI-Generated Content

Our services utilize artificial intelligence to generate content and insights. You acknowledge that:

• AI-generated content may not always be accurate or appropriate
• You are responsible for reviewing and approving AI-generated content before use
• We do not guarantee the accuracy, completeness, or quality of AI outputs
• You retain ownership of content you create or provide to our services
• You grant us a license to use your content to provide and improve our services

7. Intellectual Property Rights

Our services, including all software, content, trademarks, and other materials, are owned by Propel IT or our licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include the right to modify, copy, create derivative works, reverse engineer, or remove proprietary notices.

8. Payment and Billing

Certain features of our services require payment. You agree to pay all fees according to the pricing plan you select, provide accurate billing information, authorize us to charge your payment method, and pay applicable taxes.

We reserve the right to change our pricing with advance notice. Failure to pay may result in suspension or termination of services.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPEL IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.
